Join a large legal team in Montreal, known for its support and fast pace, to support a high transactional volume in corporate law. This position is created to meet a growing workload and offers a concrete daily routine focused on quality execution, rigor, and discretion.

Responsibilities — deliver complete corporate files, from preparation to closing

  • Draft resolutions and corporate documents related to ongoing transactions (incorporation, organization, amendment of bylaws, merger, liquidation, dissolution).
  • Prepare closing agendas, base contracts, and resolutions required in business purchases/sales, corporate reorganizations, and financings.
  • Modify capital structures, administrative regulations, or general regulations as needed for the files.
  • Prepare and file with authorities the required declarations, reports, and notices, as well as post-transaction filings with the appropriate government bodies.
  • Participate in closing sessions with the working team to ensure smooth and compliant execution.
  • Update corporate data in GlobalAct and ensure the accuracy of information throughout operations.
  • Conduct research in public registers (Business Registrar, Corporations Canada) to support transactions.

Profile sought — essentials for success in a fast-paced transactional environment

  • Have a minimum of 10 years of experience in corporate law, in a large firm or in-house.
  • Hold a degree in legal techniques or a certificate in business law.
  • Master both French and English (bilingualism required).
  • Demonstrate consistent rigor and a strong sense of discretion in managing sensitive files.
  • Stay on track in a fast-paced environment with a high transactional volume.

Conditions — compensation, schedule, and benefits

  • Offer a salary starting at $100,000 and a bonus of up to 10%.
  • Work 35 hours/week (9 am to 5 pm) with flexibility between 8 am and 6 pm.
