The Corporate Secretariat team reports into the Chief Legal Officer and Corporate Secretary and is comprised of professionals who support Laurentian Bank of Canada and its subsidiaries. Whether it be through corporate governance activities, ESG strategy involvement, regulatory advisory or shareholder engagement matters, this team plays a key role within Laurentian Bank. Responsibilities
  • Help prepare and conduct quarterly meetings of the Board of Directors of Laurentian Bank of Canada, a publicly traded Schedule I bank.
  • Participate in the governance and reporting process of subsidiaries.
  • Draft and file the organization’s continuous disclosure documents, including management proxy circulars and annual information forms.
  • Support shareholder interaction and engagement activities, including the annual meeting.
  • Advise all of the Bank’s departments, business units and subsidiaries on various law matters, particularly regarding regulatory compliance and corporate secretarial obligations.
  • Expand knowledge of ESG best practices in a legal and governance environment and write legal commentaries.
  • Draft, review, update and advise on corporate policies.
  • Support insider trading oversight, reporting and compliance.
  • Facilitate communication with internal stakeholders and advise on communications with external stakeholders, including regulators.
  • Supervise administrative tasks related to the board’s governance, organization and oversight activities.
  • Exercise judgement on activities covered by standard policies and regulatory requirements.
  • Resolve day-to-day issues or escalate with appropriate analysis and recommendations.
  • Help foster an inclusive work environment.
Qualifications
  • University degree in law (BCL, L.L.B. or J.D.)
  • Membership in good standing with a Canadian law society (ideally the Quebec Bar or the Law Society of Ontario)
  • One to three years of professional experience as a lawyer, ideally in corporate governance, banking law or securities law
  • One to two years of relevant experience in private practice or in the legal department of a large corporation an asset
  • Effective verbal and written communication and decision-making skills, ideally in both English and French*
  • Ability to continually live out all the company’s values
  • Ability to manage competing priorities effectively
  • Proven ability to deliver results
  • Highly practical mindset and strong business acumen combined with a client-focused, problem-solving approach
  • Strong sense of teamwork and initiative paired with an ability to work independently
  • Professional demeanour and maturity to interact with senior executives and represent the Bank externally
  • Interpersonal and teamwork skills
  • Creativity, enthusiasm, and ability to innovate
*Professional working proficiency in French and English languages required as position involves frequent written and oral communication on complex matters with internal and external parties in both languages
